    Ascent Media Corporation Acquires Monitronics

    Englewood, CO – December 17, 2010 - Ascent Media Corporation (“Ascent” or the “Company”) (Nasdaq: ASCMA) today announced it has acquired Monitronics International, Inc. (“Monitronics”), one of the nation’s largest and fastest-growing security monitoring companies. The transaction was valued at approximately $1.2 billion, exclusive of certain hedge related and other liabilities but including the assumption of Monitronics’ existing structured financing. The cash portion of the merger consideration comprised an aggregate of $413 million and was funded by Ascent from cash on hand and $105 million in borrowings under a new $175 million credit facility.

    Red Cross Recognizes Monitronics' Haiti Donations

    DALLAS, April 29, 2010 /PRNewswire/ -- After the January earthquake in Haiti, Monitronics employees were deeply concerned by the news of devastation from that country. In response, they organized multiple fundraisers in order to make a donation to the American Red Cross' relief efforts.

    And fund-raise they did. The company matched dollar-for-dollar the donations and money earned from raffles, snack sales, and lunches. The result? In February, Monitronics donated a total of $18,484 to the Dallas chapter of the American Red Cross.

    Longtime Monitronics Dispatch Worker Named Operator of Year

    Monitronics International recognized as Monitoring Service Provider of the Year

    (Dallas, Texas, April 1, 2008) – Monitronics International, one of the largest providers of residential alarm monitoring services, recently earned recognition from an independent research firm, Frost & Sullivan.  The award for 2008 North American Alarm Monitoring Service Provider of the Year will be presented to CEO Michael Haislip and VP of Marketing and Market Development, Mitch Clarke at ISC West in Las Vegas.

    “Monitronics has undergone many changes with a focus on providing customers with quality service. These changes involve streamlining our processes and providing state-of-the art products and services to help increase customer satisfaction and makes life easier and more profitable for our dealers” says VP Marketing and Market Development, Mitch Clarke.  “We are pleased that our efforts have been recognized and honored to receive such an award.”

    The award will be presented to Monitronics during the ISC West Security Conference at the Sands Expo Center, Wednesday April 2 at 2:00 PM.  The presentation will take place within the Monitronics booth, #22097.

    Monitronics Appoints Mike Haislip as New President and CEO

    Dallas, Texas March 15, 2006 - Monitronics International, Inc. has recently appointed Michael (Mike) R. Haislip as President and CEO. Haislip has served as Vice President and Chief Operating Officer at the company since May 2005. Haislip takes on the role from company founder Jim Hull who retired at the end of March.

    Haislip came to Monitronics with more than 27 years of executive management experience in the cable television industry. Just before coming to Monitronics, Haislip served as Senior Vice President at Charter Communications, a national broadband communications company based in St. Louis, Missouri. Prior to this, he served at various other cable companies, including Armstrong Cable and Star Cable Associates, both located in Pennsylvania, and Enstar Communications in Atlanta, Georgia. He began his career at Cox Communications in Atlanta, where he worked for 10 years in various operations and financial management positions. Haislip holds a bachelor’s degree in management science accounting from the University of Tennessee.
